Welcome to use of TheCoolist (“TheCoolist” or “We”). These Terms and Conditions and any related policies and separate terms available at TheCoolist (“Terms”) apply to the use of all Platforms provided by TheCoolist including the Services (as defined hereunder) and applications developed and/or published by TheCoolist, TheCoolist’s and aforementioned services, webpages and other services available in TheCoolist’s Platforms (as defined below or next), such as applications or any social functions of the Services and Platform or any other services TheCoolist has attached these Terms to. These Terms govern the relationship between you and TheCoolist regarding your use of the Platform and Services and the access of our Platform. By downloading, installing, accessing the Platform or using any part of the Services and/or the Platform you agree to these Terms and agree to be bound by them. Where you are permitting a minor to use the Services, you are also agreeing that the minor will adhere to the Terms hereunder.

The Access of our Platform and the use of the Services and applications are also governed by TheCoolist’s Privacy Policy and other relevant policies, which are incorporated herein by reference. These Terms along with TheCoolist’s Privacy Policy affect your legal rights and obligations. If you do not agree to these Terms, your only remedy is to discontinue your use of the Platform. TheCoolist Privacy Policy (http://thecoolist.io/privacy-policy.html) ("Privacy Policy"), explains TheCoolist’s collection, use, transmission and disclosure of your personal information provided by or collected from you. By agreeing to be bound by these Terms, you are also agreeing that you have read and understood the collection, use, transmission and disclosure of your personal information or data as described in the Privacy Policy (and as amended from time to time). You should review the Privacy Policy before using the Services.

By accessing the Platform, you expressly and unreservedly accept these Terms and confirm that you are eligible to use the Platform and you also undertake to respect them.

If you do not agree to these Terms, you may not access or use the Service. We may update and modify the Terms from time to time. Your continued use of the Services means that you have accepted those modifications.

  1. Interpretation

Unless otherwise indicated and for the purpose of the Terms and wherever the context so requires, the following terms shall have the following meanings:

“you” and “your” shall refer to any visitor, user or person who accesses to, or uses the Platform in any manner whatsoever.

“we”, “us”, “our” and “TheCoolist” refer to TheCoolist and/or any of its online Platform(s) and/or affiliates as the case may be.

“Platform” shall refer to any platform(s), web pages(s), applications and Services owned by or operated by TheCoolist Unless otherwise indicated.

“Personal Data” means personally identifiable information that specifically identifies You as an individual.

“Content(s)” shall refer to any or all information, products, services, items, materials, promotional programs, Services, Points, Virtual Items, pictures, images, videos, featured articles, texts, adds, messages, numbers and all components relevant to the subject matter of these Terms in whatever format or type, whether such Content is provided by You, other users, third party, and/or TheCoolist.

  1. Acceptance of Terms

By using, visiting and accessing our Platform You agree that You have read, understood and agree to be bound by these Terms. And your continued use of our Platform now or following any changes to the Terms indicate Your acceptance of these Terms and any changes thereafter. If You do not wish to be bound by these Terms, you are kindly requested to immediately refrain from using Our Platform. In addition, by accessing, using Our Platform, you agree to fully comply with all the Terms stipulated herein in conjunction with the applicable laws and regulations of the Hashemite Kingdom of Jordan.

Although we provide rules for user conduct, we do not control, or direct user’s actions and We are not responsible for the contents or information users or any Third-Party may transmit or share. By using TheCoolist, You acknowledge and agree that You may be exposed to Content that is inaccurate, misleading or otherwise objectionable. You are responsible for and must evaluate all risks associated with, the use of any Content. You should not rely on said content and under no circumstances will TheCoolist be liable or responsible in any way for any loss or damage of any kind incurred as a result of using, browsing or reading any Content listed, emailed or otherwise made available via the Platform, and We are not responsible of the completeness of any transaction related to our Platform. In addition, TheCoolist does not endorse any Content or any opinion, statements, recommendation and disclaims any and all liability in connection with user Content.

These Terms constitute a contract between You and TheCoolist, and shall apply to all users of this Platform. Any person or entity using this Platform, is compliant to TheCoolist’s Terms, provided that if such user is under 13 years or the age of majority in your jurisdiction, whichever is older, it also includes such person's parent or legal guardian.

  1. Amendments of the Terms

You agree that We may, at any time, unilaterally modify and amend these Terms at Our sole discretion and as We find it necessary. You hereby agree to abide by and be fully bound by such modified and amended terms even if they are in conflict with these Terms or subject you to additional obligations.

You are solely responsible for reviewing these Terms from time to time as the Terms may be automatically updated, changed or modified by TheCoolist at any time and at its discretion. All revisions and amendments to these Terms shall be effective immediately upon posting them thereafter and TheCoolist will not be responsible to inform You or notify you of such amendments, therefore, you must review the Terms on a regular basis. Your continued access and use of the Platform will be considered as unconditional acceptance of the amended terms. If You do not agree to be automatically bound to any amendments to these Terms or to any of the current terms or policies attached or referred to these Terms, you may cease and stop using the Platform immediately pursuant to the termination and cancelation terms thereunder.

  1. Legal Information

The website “www.thecoolist.io”, the App, Services and all the related platform(s) (hereinafter referred to as the “Platform” is owned by TheCoolist, a Limited Liability Company incorporated in the Hashemite Kingdom of Jordan.

  1. Services

The Services allows users to access and use a variety of features and services, as available from time to time on the Platform and/or App, which include, collecting points from visiting certain places, doing some activities, interacting with users on their activities, showcasing points collecting on leaderboards and competing with friends, which all such features is based on the users’ location as verified by us, in addition to creating and access to TheCoolist Account and profile, with login credentials, that includes Name, age, bio, pictures, activities and recent places that the user visited. TheCoolist may, in its sole discretion and at any time, update, change, suspend, make improvements to or discontinue any aspect of the Services, temporarily or permanently.

These Terms cover the following products and services ("Service(s)") however accessed and/or used, which are operated by or otherwise made available by TheCoolist:

(i) www.thecoolist.io;

(ii) TheCoolist (“App”);

(v) All email newsletters published or distributed by TheCoolist; and

(vi) All other interactive features, services, and communications provided by TheCoolist.

Users under the age of 16, or any higher minimum age in the jurisdiction where that user resides, are not permitted to access or use nor access the Platform and Services. If you believe a child under the age of 13 or 16, depending on the jurisdiction, has disclosed Personal Information to us, please write to us at the email address provided in the “Contact Us” section. Additionally, you cannot access or use the Services if you are barred from receiving services under applicable law or have previously been suspended or removed from the TheCoolist Services, and in all cases, should we become aware of a child’s use to the Services and/or access to an Account, we will suspend and terminate such use and access immediately.

  1. Content

You shall be solely responsible for your Personal Data, content, transmitted, published, uploaded, emailed, or otherwise make available through TheCoolist. More specifically, you are responsible for each individual item of Content that you make available via the Platform. Therefore, you acknowledge, warrant and affirm that you have all necessary permissions, licenses and rights to use such Content. TheCoolist may store user content, details, and Personal Data indefinitely, subject to the Terms and Privacy Policy. However, TheCoolist has no obligation, responsibility or shall be deemed liable thereof to store user content or make it available to you in the future.

You acknowledge and agree that TheCoolist does not permit, authorize or condone and hereby expressly prohibits user from accessing or using the Platform in a manner that infringes, or is likely to infringe, the intellectual property rights, or any other rights or privileges, of any person anywhere in the world.

You acknowledge and agree that TheCoolist has the right, at its sole discretion, to modify and amend the Content and the Platform features from time to time without notifying you.

TheCoolist is not responsible in any way of any third party’s content available at its Platform.

  1. Intellectual Property

The Platform and all the Content available thereunder and the Services and any Content thereof, including without limitation articles, artwork, screenshots, graphics, logos, downloads, and any other files in any format, is the sole and exclusive property of TheCoolist, notably including the Platform content, namely text, logos, images, and other distinctive signs. You hereby undertake not to harm, directly or indirectly via the intermediary of a third party, the intellectual property rights of TheCoolist over the Platform. You hereby refrain from reproducing any element of the Platform, republish, sell, rent, sub-license, duplicate, copy or redistribute any content from the Platform, by any means whatsoever, in any form whatsoever and on any medium whatsoever, without the prior consent of TheCoolist.

Subject to any limitations under the applicable laws, you acknowledge and accept that you have no property or other rights in the Content and/or any content on the Services, including but not limited to content that you may have created or developed, including without limitation, screen names, Points, Virtual Items, scores, the content of chats and other messages submitted to the Services or to us directly. All communications, solicited feedback, and other materials submitted to the Services (by email or otherwise) are non-confidential and non-proprietary.

By submitting material to the Service and subject to any limitations under applicable law, you give up any claims that the use of that material violates any of your rights, including moral rights, privacy rights, proprietary rights, publicity rights, rights to credit for material or ideas or any other right, including the right to approve the way such material is used. Additionally, you grant us and any successors and assigns a perpetual, royalty-free, worldwide license to use, transmit, copy and display such submitted information and material in any and all media now known or hereinafter devised and represent that you have all necessary rights in such posting. No further consideration or compensation will be given for any materials or information (including but not restricted to creative, financial, business, commercial, etc.); submitted in any manner. It is also important that any errors or problems you discover are confidentially reported to TheCoolist’ Customer Service directly so we can address them as quickly as possible.

Opinions, advice and all other information expressed by any third-parties on the Platform represent their own views and not those of TheCoolist. You should not rely on such opinions, advice or other information. Neither TheCoolist nor any of its affiliates or their respective agents, directors, employees, information providers, licensors, licensees, officers and/or affiliates shall be responsible or liable for any decisions made based on such information.

  1. User Rights and Restrictions

These Terms grant permission to you, in your individual capacity, to use the Content of the Platform and Services made available to you for personal, noncommercial use only. In no instance may you:

  1. Change or remove any copyright and other proprietary notices from Content on the Platform and Services;
  2. Modify, or create derivative works based on, the Content;
  3. Use, or facilitate the use of, any unauthorized third-party software (e.g. bots, mods, hacks, and scripts) to modify or automate operation within the Platform whether for yourself or for a third party;
  4. Use the Content in any manner: (a) suggesting an association with any other products, services, or brands (b) that is likely to cause confusion among customers, (c) that disparages or discredits TheCoolist, (d) that is otherwise exploitative for any commercial purpose; or (e) that otherwise infringes our intellectual property rights;
  5. Download quantities of Content to a database for any reason;
  6. Decompose, disassemble, or reverse engineer any part of any Services, or otherwise use a Service for any purpose other than those provided for by us and in conjunction with the operations of the Services and the Platform;
  7. Develop functionally similar products or services to any Services or the Platform;
  8. Use any Service for the benefit of any third party or transfer access to the Services to any third party;
  9. Use the Service or content for commercial purposes, including, but not limited to: (a) selling access to all or part of the Services; or (b) placing advertising, sponsorships, or promotions on or within the Services, Platform or Content;
  10. Avoid, circumvent, or disable any security or digital rights management protocols or mechanism in any Services;
  11. Take any action to cause, or exploit, known or latent malfunctions, bugs or other defects in the Platform, Services or system used to operate the Services; or
  12. Attempt to circumvent any restriction in any Services based upon age, geography, or other restriction imposed by us.

Furthermore, you will comply with all applicable laws and legal obligations, including those pertaining to such areas as: copyright, trademark and other intellectual property laws, defamation, product disparagement, harassment, invasion of privacy, tort, obscenity, indecency, and copyright or trademark infringement.

Notwithstanding anything to the contrary included in these Terms, we may at any time, with or without notice, suspend or terminate your access to some or all of the Services and refuse any and all current or future use of the Services at any time.

  1. Accounts

In order to access the Services and available features thereto, you will need to create a TheCoolist account on the Platform ("TheCoolist Account"). If you elect to create a TheCoolist Account, use a TheCoolist Account to sign up for other portions of the Services, or authenticate your identity on third party-operated services as may be applicable, you agree to:

  1. Provide true, accurate, current and complete information about yourself ("Profile Data").
  2. Maintain and promptly update the Profile Data to keep it accurate.
  3. Only maintain one TheCoolist Account.
  4. Never use another person's TheCoolist Account.
  5. Bear full responsibility for the activity on your account and the security of your account credentials.

You acknowledge and agree that you are solely responsible for maintaining the confidentiality of your any account, login ID and password you use in connection with the Services, including by not reusing passwords you have used with the Services for any other account. You agree that TheCoolist will not be responsible for any losses arising out of any unauthorized use of your TheCoolist accounts.

We have the right to suspend or terminate your TheCoolist Account, with or without notice, and refuse any and all current or future use of the Services due your violation of the Terms, or if we determine in our sole discretion that suspension or termination is in the best interest of supporting a fair, wholesome and safe environment for users of the Platform and Services. You shall be fully responsible for all use of your TheCoolist Account and for any actions that take place through your TheCoolist Account.

  1. TheCoolist Virtual Items

The Platform or Services may refer to events that require you to send in material or information about yourself. Each such event has its own rules, which you must read and agree to before you may enter.

There is never any requirement to make any purchase of any kind to use the Platform.  The Platform may include an opportunity to earn in-game points, for use in the Services ("Points") or virtual in-game items or collections (together with the Points, “Virtual Items”).  A certain number of Virtual Items will be made available to you to collect when you conduct certain actions per the information available on the Services and the Platform through certain features inside the Platform. Virtual Items are licensed to you by us for your use through the Platform, subject to the limitations and other terms set out in detail below.

We may, from time to time, and at our sole discretion, and in the manner provided for in the Services and Platform, provide opportunities for users to acquire certain Virtual Items free of charge, when you conduct real world actions as specified at each instance within the Platform and Services, such as certain physical visits to specific places. You may only acquire Virtual Items in quantity and at times permitted by us in our sole discretion and may only be for your personal use within the Service. The inclusion of any Virtual Items at a particular time does not imply or guarantee that the Virtual Items will be available at any or all times. All features, content, capabilities, and specifications of the Virtual Items described or depicted in the Platform and/or Services are subject to change at any time without notice.

Virtual Items referred to above do not have monetary value, and may not be redeemed for legal currency, discounts, promotions, services, or items of value outside of the Services and the Platform. Virtual Items obtained via the Services and the Platform are provided to you under a limited, personal, revocable, non-transferable, non-sublicensable license to use within the Services and the Platform solely. You have no property interest; right or title in or to any Virtual Items appearing or originating in the Services, and the Virtual Items may not be transferred or resold in any manner not explicitly permitted by us, whether to any user on the Platform or any other third party. We may terminate your license to the Virtual Items, access to the Services and/or the Platform at any time and at our sole discretion.

You will not in any manner receive money or other compensation for any Virtual Items collected, whether when your account is active, or even upon closure of your account, whether such closure was voluntary or involuntary.

Trading of Virtual Items shall not be permitted at any instance within the Platform in any manner, this restriction shall also include, without limitation, trading Points for "real" money, any other good or service outside of the Platform and Services, or any promise to provide certain products or services whether in-Service or outside the Services. Any attempt to trade a prohibited item, such as the Virtual Items, or to make an offer to trade such items, may result in your TheCoolist Account being suspended or terminated.

You understand that you have no right or title in the Virtual Items appearing or originating in any TheCoolist Service, however “awarded”, or any other attributes associated with a TheCoolist Account or stored on the Platform.

You may not transfer, purchase, sell, acquire, or exchange Virtual Items inside or outside the Platform, or attempt to sell, give or trade in the "real world" anything that appears or originates in the Platform unless otherwise expressly authorized by TheCoolist in writing. We won't recognize those transfers as legitimate. Doing so is a violation of these Terms and may result in termination of your access to the Platform and/or legal action taken against you, any such transfer or attempted transfer is prohibited and void.

When you get a limited license to Virtual Items, they will reside in your TheCoolist Account until discharged through use of the Platform and Services.

Virtual Items are only a counting unit for the extent of use of the Services and is not in any manner subject to exchange rates with real means of payment unless otherwise authorized in writing by TheCoolist.

  1. Conduct and Standards

You are prohibited from posting or transmitting any material to the Platform that could: (1) interfere with anyone else's use of the Services; (2) be considered abusive, illegal, indecent, obscene, offensive, or threatening in any way; (3) encourage anyone to breach the law; (4) violate anyone's copyright or other proprietary right; (5) interfere with the privacy of any other user; (6) contain a virus or any other harmful component; or (7) contain false or misleading statements of fact or descriptions of the origin of the material or the communication.

Although we may from time-to-time monitor or review discussions, messaging, postings, transmissions, and the like on the Services, we are under no obligation to do so, and assume no liability or responsibility arising from the contents of any such communications. We may change, edit, or remove any user material or conversations that we deem illegal, indecent, obscene, offensive, or otherwise violating our policies in any way. We will fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting such materials.

  1. Cookies

We employ the use of cookies. By accessing TheCoolist, you agreed to use cookies in agreement with TheCoolist’s Privacy Policy. Most interactive Platforms use cookies to let us retrieve the user’s details for each visit. Cookies are used by our Platform to enable the functionality of certain areas to make it easier for people visiting our Platform. Some of our affiliate/advertising partners may also use cookies.

  1. Hypertext links and Third Parties

TheCoolist website offers hypertext links to websites, services and platforms, that are not owned by us, whether edited and/or managed by third parties. Insofar as no control is exercised over these external resources, you acknowledge that TheCoolist does not accept any liability pertaining to the provision of these resources and may not be held liable as to their content. Furthermore, we are not responsible for maintaining any materials referenced from another site, and make no warranties for that site or the Platform or Services in such context.

Therefore, TheCoolist makes no warranties or guarantees as to the accuracy and authenticity of third-party Contents provided by any third-party or user and shall not be liable or responsible thereof, without limitations, for any loss, damages or otherwise you may endure for accessing any third-party Content or using and relying on such contents. If you link to and/or use any third-party links, Platform(s), App or otherwise, You agree to do so at your own risk and you acknowledge that when you use third party Content, their own terms and privacy policies will govern this.

  1. Updates and Changes to the Service

We may, from time to time, issue patches or updates for portions of the Services, which must be installed to continue using those portions of the Services. We may also change, discontinue, temporarily or permanently, any feature, component or content of the TheCoolist Services at any time without notice. You consent to receive and install those patches and updates in order to continue using the Services and the Platform. You also accept that all or portions of the Services may experience server issues that make it temporarily unavailable, and that we may in our sole discretion and without notice terminate all or any part of the Services. You accept that you will have no recourse of any kind against us even if this causes you to lose a level, to lose Virtual Items, or to have no further access to all or part of the Service. TheCoolist is not liable to you or to any third party for any modification, suspension, or discontinuance of any feature, component, or content of the Services or any portion thereof. We reserve the right to determine the timing and content of software updates, without prior notice to you.

  1. Liability, Third-Party and Force Majeure

The Platform is accessible online 24/7, aside for in any case of force majeure, any event outside the control of TheCoolist and/or the Platform host, and any breakdowns or maintenance required for proper operation of the Platform. These will not lead to any compensation. You confirm that you are aware and accept the characteristics and limits of information transfer online, as well as costs pertaining to connection to the internet. TheCoolist expressly reserves the right, without compensation, to amend the Platform in whole or in part at any time as well as its presentation or medium and to interrupt update of the Platform without notice. The liability of TheCoolist may under no circumstances be incurred for any direct, indirect, incidental, special or consequential damages whatsoever suffered by yourself or any third party, resulting directly or indirectly from access and use of the Platform or inability to access and use the Platform. In all instances, the liability of TheCoolist, in such instance as it is incurred, will be limited to the direct prejudice suffered with the exclusion of any indirect prejudice, of any nature whatsoever, such as notably loss of data, loss of opportunities, of profits or operation, or any other financial loss resulting from use or impossibility to use the Platform.

The legal responsibilities and liability of TheCoolist are either limited or excluded; as you take on risk, full responsibility of using the Platform provided. You acknowledge and agree to defend, indemnify, and hold TheCoolist, its officers, subsidiaries, affiliates, successors, directors and employees harmless from and against any and all claims, damages, obligations, losses liabilities, costs, debt or expenses (including legal fees) arising out from, in connection with or related to:

  1. Any violation of any of these Terms.
  2. Any violation of any applicable laws and regulations in the Hashemite Kingdom of Jordan and/or in jurisdiction which the Content is posted or received or You are a residence of.
  3. Any violation of any Third-Party IP rights, including without limitations any copyright, trademark, or trade secret.
  4. Any claim related to any damage, loss, loss of business or otherwise, that your Content, way of use and actions may have caused to TheCoolist, user or any Third-Party. And as far as the law allows, this indemnification obligation shall survive termination of these Terms.
  5. In all cases, you agree that TheCoolist shall not be liable for any damages of any kind resulting from any aspect of your use of TheCoolist Platform.
  1. Access to the Platform

By using TheCoolist and its Platform, you acknowledge and agree that certain features of the Platform may require You to download content, software and/or agree to additional terms and conditions. In addition, You acknowledge and agree that we may make any inquiries that We consider necessary, either directly or through third parties, concerning your identity and We are entitled to save all such information for our records and You also authorize TheCoolist to provide your general information to third party.

  1. Disclaimer

You acknowledge and agree that TheCoolist provides the Platform, App and the Services on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Nothing in these Terms shall or may be construed as a representation or warranty by TheCoolist that the functionality or operation of the App and/or the Services will meet your requirements, be uninterrupted or free of errors and inaccuracies, or operate in the configuration or with the hardware or software used by you.

You acknowledge that your use of the Services and the Platform is at your sole risk, that you assume full responsibility for all costs associated with all servicing or repairs of any equipment you use in connection with your use of our Services, and that neither TheCoolist, nor any of its affiliates or their respective agents, directors, employees, information providers, licensors, licensees, officers, will be liable for any damage of nay kind related to your use of the Services and/or access to the Platform. You thus acknowledge and accept to use TheCoolist, its Platform and or any other users’ content or any Third-Party is entirely at your own risk without any express and implied warranties of any kind, including without limitations, inaccuracies of content, false or misleading content, errors, viruses, mistakes, damages or loss of any nature, liability, performance, security, unauthorized access, Third-Party liability.

You understand that the disclaimers hereinabove and liability and remedy limitations are a condition of us making the Services and the Platform available to you. Without them, we would not and could not make the Services available. You accept that if we discover that you have violated any portion of these Terms, we may take any step we deem appropriate including but not limited to terminating your TheCoolist Account and access to the Services and the Platform. You acknowledge that if that happens, you will not receive any reimbursement or other compensation for any items that may be associated with your TheCoolist Account at the time of termination.

  1. Indemnification

You agree to indemnify, defend, and hold TheCoolist and its affiliates and their respective agents, directors, employees, information providers, licensors, licensees, officers and/or affiliates (collectively, "Indemnified Parties"), harmless from and against any and all liability and costs (including, without limitation, attorneys' fees and costs), incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms or the foregoing representations, warranties, and covenants. You will cooperate as fully as reasonably required in the defense of any claim. TheCoolist reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you will not in any event settle any matter without the written consent of TheCoolist.

  1. Personal Data

Pursuant to legislative provisions, Personal Data processing undertaken on the basis of information collected directly or via the intermediary of cookies, from Platform users by TheCoolist, is the object of a data confidentiality policy which can be consulted here.

Pursuant to the General Data Protection Regulation (GDPR), by justifying your identity, you have a right to access, amend, modify, delete and move data concerning you. You can also, for legitimate reasons, object in whole or in part, to data processing.

  1. Applicable law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the applicable laws of the Hashemite Kingdom of Jordan. Any dispute, controversy or claim arising out of, or relating to or in connection with interpretation, implementation and enforcement of these Terms and Conditions shall be referred to the sole jurisdiction of the Central Court of Amman (the Palace of Justice).

  1. Termination

TheCoolist may terminate your access and use of the Services immediately at any time, for any reason, and at such time you will have no further right to use the Services nor access the TheCoolist Account or the Platform. You may terminate or deactivate your TheCoolist Account at any time by sending us an email to support@thecoolist.io. The provisions of these Terms relating to the protection and enforcement of TheCoolist’s proprietary rights, your representations and warranties, disclaimer of representations and warranties, release and indemnities, limitations of liability and types of damages, ownership of data and information, governing law, and miscellaneous provisions shall survive any such termination.

  1. Miscellaneous
