Terms and Conditions

Last Updated: October 16, 2025

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICES.

These terms and conditions (the “Terms”) govern your access to and use of TheCoolist’s websites, applications, and related services (collectively, the “Platform” and the “Services”). By downloading, installing, accessing, or using the Platform or any part of the Services, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy available at https://thecoolist.io/privacy-policy. If you do not agree, do not use the Platform.

Please review our Privacy Policy, which explains how we collect, use, and disclose personal data. The Privacy Policy is incorporated into these Terms by reference.

Please note that TheCoolist utilizes a range of automated systems, including but not limited to artificial intelligence (AI) models, to enhance the functionality, safety, and user experience of the Platform and Services. These systems are employed to assist in content moderation, personalized recommendations, security measures, and operational improvements. While these tools are designed to support our services, they may not always be entirely accurate or error-free. We strive to ensure transparency and fairness in our use of automated systems, and we encourage users to reach out with any questions or concerns. Please refer to our Privacy Policy for details on how data is processed by these systems.

I. Interpretation

Unless otherwise indicated, the following terms have the meanings set out below:

  • “Content” means any information or material available through the Platform, including text, images, videos, audio, articles, advertisements, messages, features, Points, and Virtual Items, whether provided by you, other users, third parties, or TheCoolist.
  • “In-App Purchases” means purchases of digital content, features, subscriptions, or services within the Platform using payment systems provided by Apple App Store or Google Play. Such purchases are billed and processed by the relevant Store Provider, not by TheCoolist.
  • “Personal Data” means information relating to an identified or identifiable natural person, including (by way of example) name, identification numbers, email address, profile picture, age, images, contacts, location, IP address, and device identifiers.
  • “Platform” means TheCoolist’s online and digital systems, including www.thecoolist.io, associated domains and subdomains, websites, mobile applications, web applications, and APIs, owned or operated by TheCoolist.
  • “Points” means in-Service units that may be earned or used within the Platform and that have no monetary value outside the Platform.
  • “Services” means the features, products, and services made available on or through the Platform from time to time.
  • “Store Provider(s)” means Apple App Store and Google Play.
  • “Virtual Items” means non-monetary digital items, tokens, gems, boxes, powerups, collectibles, or similar features that may be earned, purchased or otherwise acquired for use solely within the Services. Such Virtual Items are licensed to you, not sold, may be exchanged or redeemed only within the Services (for example, Gems [in-app currency] may be used to purchase powerups through the in-app store). Virtual Items have no cash or monetary value outside the Services and are not redeemable or refundable for money or its equivalent.
  • “we,” “us,” “our,” and “TheCoolist” mean TheCoolist and, where applicable, its affiliates.
  • “you” and “your” mean any individual or entity that accesses or uses the Platform in any manner.

II. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and all policies incorporated by reference. If you do not agree, do not use the Platform.

You must comply with these Terms and with applicable laws and regulations of the Hashemite Kingdom of Jordan and any other laws that apply where you are located.

The Platform and Services are not available to users under 18 years of age. If local law sets a higher minimum age, that higher age applies. You must be at least 18 years old to register, access and use the Services in general. We do not knowingly collect or process any Personal Data from individuals under 18. If we learn we have collected Personal Data from a child (i.e., a person below the age of 18), we will promptly take all necessary steps to delete such data and to terminate or restrict the account, except to the extent retention is required by applicable law for security, fraud prevention, or legal compliance. TheCoolist will not be liable for any damages arising from a user's misrepresentation of their age.

If you access or use the Platform on behalf of another person or an entity, you represent and warrant that you have authority to bind that person or entity to these Terms.

Modifications to these Terms are described in Section III (Changes to These Terms). Your continued use of the Platform after any revised Terms take effect constitutes acceptance of those changes.

III. Changes to These Terms

We may modify these Terms to reflect changes to the Services, legal or regulatory requirements, security or safety needs, or operational improvements.

For material changes, we will provide reasonable notice (for example, by in-app notice, banner, or email to your registered email address). Non-material changes or changes required by law or for security may take effect immediately upon posting. The “Last Updated” date at the top of these Terms will reflect the effective date of the revision.

Your continued access to or use of the Platform after the effective date of any revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Platform and (if applicable) delete your account.

We may publish additional policies or guidelines for specific features. Those documents form part of these Terms when published. If there is a conflict, these Terms will control unless a Feature Terms expressly states otherwise.

IV. Legal Information

The Platform is owned and operated by The Cold List for Software Development, a limited liability company incorporated in the Hashemite Kingdom of Jordan.

General or privacy inquiries: support@thecoolist.io

If you access the App via the Apple App Store or Google Play, those Store Providers are not parties to these Terms and are responsible only for billing and their own platform rules.

V. Services

The Services allow users to access and use a variety of features, products, and functionalities made available on or through the Platform. TheCoolist may, in its sole discretion and at any time, update, change, suspend, improve, or discontinue any aspect of the Services, temporarily or permanently (see Section XVII – Service Changes, Availability & Discontinuation).

These Terms cover the following products and services (“Services”), however accessed or used, which are operated by or otherwise made available by TheCoolist:

(i) www.thecoolist.io;

(ii) TheCoolist (the “App”);

(iii) all email newsletters published or distributed by TheCoolist; and

(iv) other interactive features, services, and communications provided by TheCoolist.

The Services are cloud-based and require a continuous, stable internet connection to function; the App does not offer offline use. Certain features also require device services and permissions (e.g., location/GPS, camera, photos, Bluetooth). You are responsible for maintaining internet access, enabling required permissions, and any related charges. We are not responsible for any unavailability or disruption caused by your connection, device settings, or disabled permissions.

Some features may rely on third-party integrations or services. Your use of those third-party services is governed by their terms and privacy policies (see Section XVI – Third-Party Links, Services & Map Data).

Location-based features may surface digital ‘Boxes,’ Powerups’, or similar items within a certain distance of your device. Always stay aware of your surroundings; obey laws and posted signs; do not trespass; do not use the App while driving or in situations that require attention; and avoid unsafe or restricted areas. We may geofence or remove items in our discretion. You acknowledge and agree that you are solely responsible for any risks you take in the real world while using the Services.

VI. Content

You are solely responsible for any Content you transmit, publish, upload, email, or otherwise make available through the Platform (“User Content”). You represent and warrant that you have all rights, permissions, and licenses necessary to make your User Content available and that your User Content does not violate these Terms or applicable law.

Except for materials owned by TheCoolist, you retain ownership of your User Content. The license you grant to TheCoolist to host, display, and use User Content is described in Section VIII (Intellectual Property).

We may access, review, and remove Content in line with Section VII (Content Moderation & AI Tools). Appeals and account actions are handled per Section VII and Section XXIV (Suspension & Termination).

While we may retain backups or archives for a period we determine, we have no obligation to store, maintain, or provide copies of User Content, nor to restore deleted Content. Handling of Personal Data is described in our Privacy Policy.

You must not access or use the Platform in any manner that is unlawful, infringes, or is likely to infringe any intellectual property, privacy, or other rights of any person. To report alleged infringement, contact support@thecoolist.io with sufficient detail about the rights asserted and the location of the material.

The Platform may display Content provided by other users or third parties, and may also allow Users to display or interact with others’ content (e.g., reposts, duets, or remixes). We do not endorse and are not responsible for third-party content; your use of such content is at your own risk. See Section IX for usage restrictions.

VII. Content Moderation & AI Tools

We use a combination of automated tools (including AI models, both proprietary and open-source) and human review to help detect, label, limit, or remove Content that may violate these Terms or applicable law. These systems may review text, images, audio/video, associated metadata, and behavioral signals.

At our discretion, we may: (i) flag, label, blur, or age-gate Content; (ii) reduce its visibility or distribution; (iii) require edits or additional context; (iv) issue warnings or rate-limit features; (v) temporarily freeze features or accounts; (vi) remove Content; (vii) suspend or terminate accounts; and/or (viii) apply geo-blocking or other access restrictions.

We are not obligated to proactively monitor all Content. Use of automated systems does not create a duty to monitor, and tools may not be accurate in every instance.

If you believe a moderation action was taken in error, you may appeal by contacting support@thecoolist.io within a reasonable time. Where required by law, we will conduct a good-faith human review of appealed decisions.

Automated moderation tools can generate false positives/negatives. We make no guarantees as to their accuracy, completeness, or timeliness and are not liable for ordinary errors, omissions, or delays, without prejudice to any non-waivable rights you may have under applicable law.

Our moderation systems process Content and related data as described in our Privacy Policy. We may retain logs and samples for security, abuse prevention, auditing, and improvement of safety systems, consistent with that policy.

We may preserve and disclose Content and account information if we believe it is reasonably necessary to comply with law, respond to lawful requests, enforce these Terms (including investigating potential violations), or protect users, the public, or the Services.

See also Section VI (Content) for your responsibilities when submitting Content.

VIII. Intellectual Property

8.1 The Platform, the Services, and all Content and materials we provide, including, without limitation, text, artwork, graphics, logos, screenshots, user interface elements, software, downloads, designs, and other works (collectively, “TheCoolist Materials”), are owned by TheCoolist or its licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you in or to the TheCoolist Materials.

8.2 Subject to your compliance with these Terms, TheCoolist grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the TheCoolist Materials for your personal, non-commercial use. You must not: (a) copy, modify, translate, or create derivative works of the TheCoolist Materials; (b) distribute, sell, rent, lease, sublicense, or otherwise transfer the TheCoolist Materials; (c) remove, obscure, or alter any copyright, trademark, or other proprietary notices; or (d) use the TheCoolist Materials in any way that suggests sponsorship or endorsement by TheCoolist.

8.3 Except for TheCoolist Materials, you retain ownership of Content you submit or make available through the Platform (“User Content”). You grant TheCoolist a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, modify, adapt, publish, translate, create derivative works (for formatting/display), publicly perform, publicly display, and distribute your User Content in connection with operating, protecting, improving, and promoting the Services. This license continues for as long as your User Content is available on the Platform and, after you remove it, only: (i) to the extent your User Content has been shared with others, and they have not deleted it; and (ii) for reasonable backup, audit, dispute-resolution, and legal-compliance purposes. To the extent permitted by law, you waive any moral rights you may have in User Content for the limited purposes above.

8.4 If you send us ideas, suggestions, support requests, or other feedback (collectively, “Feedback”), you agree that TheCoolist may use the Feedback freely and without compensation. You grant TheCoolist a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, and exploit Feedback for any purpose. Feedback is non-confidential. (This does not change how we handle your Personal Data, which is governed by the Privacy Policy.)

8.5 If you print, copy, or download any part of the Platform in breach of these Terms, your right to use the Platform will cease immediately, and you must, at our option and at your cost, return or destroy any copies you have made. You must not use images, photos, video, audio, or graphics separately from accompanying text where provided together.

8.6 TheCoolist and associated logos, product and service names, designs, and slogans are trademarks of TheCoolist or its licensors. You must not use any trademark without our prior written permission.

8.7 You must not use the Platform in any manner that infringes or misappropriates the intellectual property, privacy, or other rights of any person. If you believe material on the Platform infringes your rights, please email support@thecoolist.io with: (a) identification of the work or right alleged to be infringed; (b) the URL or location of the material; (c) your contact details; and (d) a statement that you have a good-faith belief the use is not authorized. We may remove or restore Content at our discretion and, where appropriate, terminate repeat infringers.

8.8 Except as expressly stated, no license or rights (by implication, estoppel, or otherwise) are granted to you in any TheCoolist intellectual property.

8.9 Content or opinions expressed by third parties on the Platform are their own and not those of TheCoolist. See Section XVI (Third-Party Links, Services & Map Data) and Section XX (Disclaimer) for applicable terms.

IX. User Rights & Restrictions

Subject to these Terms (including Section 8.2 – Limited License), we grant you a limited, personal, non-exclusive, revocable, non-transferable, non-sublicensable license to access and use the Services and Content for personal, non-commercial purposes.

You may not:

  1. Change, remove, or obscure any copyright, trademark, or other proprietary notices on the Services or Content.
  2. Modify, translate, adapt, or create derivative works based on the Services or Content, except as permitted by applicable law.
  3. Use or facilitate bots, scrapers, crawlers, data-mining tools, mods, hacks, scripts, or other unauthorized software or automated means to access, query, extract, or modify the Services or Content (except as permitted by our robots.txt or with our prior written permission).
  4. Use the Services or Content in any manner that (a) suggests sponsorship, affiliation, or endorsement; (b) is likely to cause confusion; (c) disparages or misrepresents TheCoolist; or (d) infringes TheCoolist’s or others’ intellectual property rights.
  5. Cache, archive, mirror, frame, or systematically download the Services or large portions of the Content into a database or repository.
  6. Decompile, disassemble, reverse engineer, or otherwise attempt to derive source code, algorithms, or underlying ideas of the Services, except to the limited extent permitted by applicable law and only after providing prior written notice to TheCoolist.
  7. Use the Services, non-public Content, or non-public APIs to develop, train, or improve products or services that are functionally similar and compete with the Services.
  8. Resell, lease, rent, timeshare, sublicense, or otherwise provide access to the Services to any third party, except as expressly permitted by us in writing.
  9. Place advertising, sponsorships, or promotions on or within the Services or Content, or use the Services or Content for any commercial purpose not expressly authorized by us.
  10. Avoid, circumvent, disable, or interfere with security features, digital rights management, rate limits, access controls, geofencing, age-gating, or usage restrictions.
  11. Take any action intended to exploit or cause malfunctions, introduce malware, test limits without permission, probe/scan/test vulnerabilities, or impose an unreasonable load on our infrastructure.
  12. Attempt to access features restricted by age, geography, account status, subscription level, or other restrictions imposed by us.
  13. You must not use emulators, mock-location apps, GPS spoofing, bots, scripts, or other means to falsify location, automate play, or gain unfair advantage. We may reset Points/Virtual Items, limit features, or suspend accounts to maintain fairness.

You must comply with all applicable laws, including those related to intellectual property, privacy, and data protection. Additional community-behavior rules are set out in Section XIII (Conduct & Standards).

We may investigate and take action for violations, and we may suspend or terminate access with or without notice as described in Section XXIV (Suspension & Termination).

X. Accounts

To access certain features of the Services, you must create a TheCoolist account (a “TheCoolist Account”) or sign in using a supported third-party identity provider. By creating or using a TheCoolist Account, you agree to:

  1. Provide true, accurate, current, and complete information (“Profile Data”) and keep it updated.
  2. Maintain only one TheCoolist Account and never use another person’s account.
  3. Keep your credentials (including passwords, one-time codes, recovery keys) confidential; do not share, sell, or transfer your account. Use reasonable security measures (e.g., device lock, MFA where available).
  4. You are responsible for all activities that occur under your account.

If we suspect compromise or abusive activity, we may, without prior notice—require identity verification, temporarily freeze features, suspend access, or terminate the account to protect users and the Services. TheCoolist is not responsible for losses arising from unauthorized use of your account caused by your failure to safeguard credentials. Report suspected unauthorized use immediately to support@thecoolist.io. We process related Personal Data as described in our Privacy Policy.

You must not impersonate others; claim usernames you have no right to (username squatting); provide false, incomplete, or misleading Profile Data; or use the Services if you are barred by law or have been previously suspended or terminated from TheCoolist. Any violation of this provision may result in immediate account suspension or termination at TheCoolist's sole discretion, and TheCoolist reserves the right to pursue all available legal remedies, including but not limited to claims for damages.

If you authenticate via a third-party service (e.g., Apple, Google), your use of that sign-in is also governed by that provider’s terms and privacy policy. TheCoolist does not control those services.

If you create or use an account on behalf of another person or an entity, you represent, covenant, and warrant that you have full, valid, and legally binding authority to bind that person or entity to these Terms and the Privacy Policy, and you agree to indemnify and hold TheCoolist harmless from any claims, damages, or liabilities arising from any lack of such authority or any breach of this representation. Accounts associated with false device permissions or spoofed location data may be suspended.

Account actions are taken per Section XXIV (Suspension & Termination).

XI. Virtual Items and Points

11.1 The Platform may allow you to earn, use or acquire Points and other Virtual Items (including Gems and Powerups) for your personal, non-commercial use solely within the Services. Virtual Items are licensed, not sold, confer no ownership or property interest, and have no cash or monetary value outside the Services. The App includes an in-app store where Users may use Gems (in-app currency) to purchase Powerups (in-app items).

11.2 Virtual Items and Points are not redeemable or refundable for money, monetary value, or equivalents (including gift cards, cryptoassets, or other consideration) and may not be exchanged for items or services outside the Services.

11.3 You may not sell, resell, trade, gift, assign, or otherwise transfer Virtual Items or Points, inside or outside the Platform, unless we expressly authorize it in writing. Any attempted transfer is void and may result in account action.

11.4 To maintain fairness, correct errors (including pricing/attribution errors), prevent abuse, implement updates, comply with legal obligations, or protect the integrity of the Services, we may, in our sole and absolute discretion, adjust, limit, revoke, or reset Virtual Items or Points at any time without prior notice and without liability to you. We may modify or discontinue features that use Virtual Items (see Section XVII).

11.5 Virtual Items and Points reside in your account and may be consumed, expire, or be removed when used, when a feature ends, or when your access terminates.

11.6 Transactions involving Virtual Items or Points are final, binding, and non-refundable to the fullest extent permitted by law. By completing any such transaction, you expressly waive any right to cancel, reverse, or obtain a refund for Virtual Items or Points. You acknowledge that you have carefully considered your purchase before completing the transaction. If a transaction is processed via a Store Provider, billing and refunds are handled by that Store Provider under its terms (Section XII). This does not limit any non-waivable consumer rights that may apply.

11.7 Virtual Items and Points are not legal tender, stored value, or e-money, do not reflect any deposit or investment, and do not earn interest.

XII. In-App Purchases

12.1 The App may offer In-App Purchases (“IAPs”) that allow you to acquire digital Content or features (including Virtual Items and, where offered, subscriptions) through the Apple App Store or Google Play (each, a “Store Provider”). Billing, taxes, currency, receipts, and refunds for IAPs are handled exclusively by the applicable Store Provider and are governed by that provider’s terms and policies. TheCoolist is not a party to the billing transaction and does not store your payment credentials. An active internet connection is required to purchase, download, validate, and access digital Content and entitlements.

12.2 You are responsible for managing IAP settings on your device and Store account (e.g., password/MFA, purchase approval, spend limits, parental controls). Guidance is available in your device settings and the Apple App Store/Google Play help centers.

12.3 Prices for IAPs are set in your local currency by the Store Provider and may include applicable taxes. We and/or the Store Provider may change prices prospectively. We may add, remove, or modify features (including types of In-App Purchases such as subscriptions) at any time.

12.4 If the subscriptions feature are introduced in the future, they will auto-renew at the end of each billing period unless you cancel at least 24 hours (or the timeframe required by your Store Provider) before the renewal through your Store account settings. Cancellation takes effect at the end of the then-current period; no partial period refunds are provided by TheCoolist. Free trials or introductory offers convert to paid subscriptions unless you cancel before the trial ends. Promotional pricing may apply for a limited term and then revert to the standard price.

12.5 Digital content is delivered promptly after the Store Provider confirms your purchase. If an IAP fails to download or does not function after download, we will act reasonably to repair/replace it or request that the Store Provider refund you in line with their policies. In cases where a confirmed functional defect or glitch prevents proper use of purchased Content, TheCoolist may, at its discretion and based on its investigation, provide appropriate remedies or compensation. No remedies or compensation will apply where the issue results from User manipulation, abuse, or unauthorized activity. Billing and refund requests must be directed to your Store Provider. Nothing in this Section limits any non-waivable consumer rights you may have.

12.6 If an IAP is charged back, reversed, or suspected to be fraudulent or unauthorized, TheCoolist may without prior notice revoke or adjust related Virtual Items/entitlements, freeze or suspend features or your account, terminate your access to the Services, pursue collection of any amounts owed, and/or otherwise correct balances to maintain fairness and prevent abuse. You shall be liable for any costs, fees, or damages incurred by TheCoolist as a result of any chargeback, reversal, or fraudulent transaction, including but not limited to chargeback fees, administrative costs, and legal fees. TheCoolist reserves all rights to pursue legal remedies for fraudulent or unauthorized transactions.

12.7 IAPs are generally tied to your Store account and platform ecosystem. Cross-platform portability or family sharing is controlled by the Store Provider and is not guaranteed by TheCoolist.

12.8 We reserve the right to correct obvious pricing or attribution errors. If an error affects an IAP, the Store Provider may cancel the transaction and issue a refund per its policies.

12.9 Virtual Items acquired via IAPs are digital Content licensed, not sold, have no monetary value outside the Services, and are non-transferable except as expressly permitted by TheCoolist (see Section XI – Virtual Items and Points).

12.10 By purchasing digital Content delivered immediately after purchase, you request and consent to immediate performance and acknowledge that your statutory withdrawal right (if any) may be lost once delivery begins, to the extent permitted by law.

XIII. Conduct & Standards

You agree to use the Services respectfully and lawfully. You must not post, share, or transmit any Content, or engage in any behavior, that:

  1. Harasses, bullies, or threatens individuals; incites violence or self-harm; or promotes suicide or eating disorders.
  2. Targets protected characteristics with hate, discrimination, or dehumanizing language.
  3. Sexually exploits or endangers minors, depicts or solicits sexual Content involving minors, or attempts grooming.
  4. Shares non-consensual intimate Content, sexual Content without consent, or exposes private Personal Data.
  5. Is illegal or encourages illegal activity; includes instructions to commit crimes or obtain illegal weapons/substances.
  6. Violates intellectual property or privacy rights, including unauthorized copies, deepfakes that misappropriate likeness, or secret recordings where unlawful.
  7. Contains graphic violence.
  8. Constitutes spam, scams, phishing, or deceptive practices, including impersonating others or misrepresenting your identity or affiliation.
  9. Solicits Personal Data from users for commercial, malicious, or fraudulent purposes, or attempts to bypass safety features.
  10. Contains false or misleading statements that may cause harm (e.g., dangerous health claims), or misrepresents the origin of material.

We may (but are not obligated to) monitor, review, label, limit reach, require edits, remove Content, rate-limit features, or suspend/terminate accounts at our sole and absolute discretion for violations of this Section or these Terms, or where we reasonably believe such action is necessary to protect TheCoolist, other users, or third parties, or to comply with legal obligations. Our decision to take or refrain from taking any such action shall not create any liability on the part of TheCoolist, and we expressly disclaim any duty to monitor, review, or remove Content. See Section VII (Content Moderation & AI Tools) for our process and appeals, and Section XXIV (Suspension & Termination) for enforcement outcomes.

Technical misuse (e.g., malware, DDoS, vulnerability probing, scraping, or attempts to gain unauthorized access) is prohibited and addressed in Section IX (User Rights & Restrictions).

We may report suspected illegal Content or activity to the relevant authorities and will cooperate with lawful requests, including lawful requests to disclose account information.

XIV. Data & Privacy

We care about the privacy and security of your information. Details of how we collect, use, share, and protect Personal Data are set out in our Privacy Policy at https://thecoolist.io/privacy-policy, which is incorporated into these Terms by reference.

For the purposes described in the Privacy Policy, TheCoolist is the controller of your Personal Data under applicable data protection laws. You can contact us at support@thecoolist.io for privacy inquiries. By using the Services, you acknowledge that you have read, understood, and consent to the data processing activities described in the Privacy Policy, and you authorize TheCoolist to process your Personal Data in accordance with the Privacy Policy and these Terms.

We process Personal Data to provide and operate the Services, troubleshoot and improve features (for example, understanding visits and search activity in the App), ensure security and abuse prevention, comply with law, and, with your consent where required, to send marketing communications. Service notifications (e.g., account, security, transactional messages) are part of the Services and are not marketing.

You can manage marketing preferences via the App or by using the unsubscribed instructions in our emails.

We retain Personal Data only as long as necessary for the purposes described in the Privacy Policy and to comply with legal obligations. If you believe we have collected Personal Data from a child in violation of these Terms, contact us and we will take appropriate steps to delete it.We may update the Privacy Policy from time to time. For material changes, we will provide reasonable notice and seek consent where required by law.

Use of the Services involves transmitting data over networks not owned or controlled by TheCoolist. We implement reasonable security measures, but transmission over third-party networks carries inherent risk outside our control. To the maximum extent permitted by law, TheCoolist is not responsible for electronic communications or data that are delayed, lost, altered, intercepted, or stored by third-party networks.

You represent and warrant that you have all rights and permissions needed to submit such Content and that it complies with these Terms and applicable law (see Section VI – Content).

XV. Tracking Technologies

We use cookies and similar technologies, such as local storage, device identifiers, and analytics software development kits (“Tracking Technologies”), to deliver, secure, and improve the Services; remember preferences; measure usage; and, where required by law and with your consent, personalize Content and communications. Details are set out in our Privacy Policy.

You can manage certain data collection through in-app controls and your device/OS settings (for example, ad tracking and analytics permissions). Disabling some Tracking Technologies may limit functionality of the Services. You may withdraw consent at any time via available controls; withdrawal does not affect processing that occurred before withdrawal.

We may update our use of Tracking Technologies. For material changes, we will provide reasonable notice and update the Privacy Policy.

Functionality of Tracking Technologies may vary by device, operating system, and configuration. To the extent permitted by law, TheCoolist is not responsible for limitations caused by device settings or third-party platform changes outside our control.

XVI. Third-Party Links, Services & Map Data

The Services may include links to, embed, or interoperate with third-party websites, applications, services, Content, or resources that are not owned or controlled by TheCoolist (collectively, “Third-Party Services”). TheCoolist is not responsible for the availability, accuracy, security, or policies of Third-Party Services, and your use of them is at your own risk and governed by the applicable third party’s terms and privacy policies. The inclusion of a link or integration does not imply endorsement, sponsorship, or affiliation by TheCoolist.

The Services display maps, places, and other geospatial content (“Map Data”). Some Map Data incorporates information from OpenStreetMap (“OSM”) and its contributors, which is made available under the Open Database License. “OpenStreetMap” is a trademark of the OpenStreetMap Foundation (OSMF); use of the OSM name does not imply endorsement by OSMF.

OSM data is a community-maintained starting point. We continuously update, add, and remove places based on inputs from users, partners, and our own review processes. Nevertheless, places data can be incomplete or inaccurate (for example, closures, incorrect names, addresses, or coordinates). We do not guarantee accuracy, completeness, or timeliness of Map Data.

A reporting/feedback feature may be provided to flag errors (e.g., closed venues, wrong location). We may review and, at our discretion, correct or remove entries, but we are not obligated to take action on every report or to provide individual responses.

We have no obligation to review, vet, or verify Third-Party Services or external links. To the maximum extent permitted by law, TheCoolist will not be liable for any loss or damage arising from your use of, or reliance on, Third-Party Services.

Hosting and certain functionalities are provided by third-party service providers (e.g., cloud hosting, analytics, crash reporting) as described in our Privacy Policy.

XVII. Service Changes, Availability & Discontinuation

17.1 We may provide updates, upgrades, patches, or other modifications to the Services and Apps (collectively, “Updates”). Updates may be installed automatically without additional notice. We may add, change, or remove features. Where a change materially reduces core, paid functionality, we will provide advance notice by in-Service message/in-app notice (such as a pop-up message) at least [30] days before it takes effect, unless an earlier change is reasonably necessary for security, legal, or operational reasons.

17.2 The Services may be temporarily unavailable due to planned or emergency maintenance, outages, or events beyond our reasonable control. We will use commercially reasonable efforts to schedule planned maintenance during off-peak windows and to post status updates when feasible. Unavailability may also result from internet service provider or mobile network disruptions, or from cloud-provider incidents outside our reasonable control.

17.3 From time to time we may offer early-access, preview, or experimental features (“Beta Features”). Beta Features are provided as-is, may be subject to additional terms, may be rate-limited, and may be withdrawn at any time without notice.

17.4 We may deprecate or discontinue any feature, component, or, in extraordinary cases, the Services in whole. For deprecations that materially affect functionality, we will provide at least sixty (60) days’ notice where reasonably practicable. For discontinuation of the Services in whole initiated by us (and not for cause under these Terms), we will provide at least ninety (90) days’ notice where reasonably practicable. We may implement deprecations or discontinuation without prior notice where required to address legal or regulatory requirements, security risks, fraud, or force-majeure events.

17.5 If we deprecate or discontinue a feature or the Services in whole, we will provide a reasonable means to export Your Content that you lawfully control and that is technically feasible to export, from the date of notice until thirty (30) days after the effective date of discontinuation (the “Export Window”). This does not include our system logs, diagnostics, security-related data, or anonymized/aggregated datasets. You are responsible for maintaining your own backups; we do not promise to store Your Content after the Export Window.

17.6 Virtual Items and Points have no cash value and are not redeemable for money or monetary value. If a Virtual Item or paid feature is deprecated or discontinued, we may, at our discretion and where feasible: (a) provide a functionally equivalent or reasonably comparable in-Service benefit; or (b) convert remaining balances into other in-Service items of comparable utility. We are not obliged to provide cash refunds for Virtual Items, except where required by applicable mandatory law.

17.7 If you purchase through a Store Provider (e.g., Apple App Store or Google Play), billing, cancellations, and refunds are handled by that Store Provider under its policies. Where we discontinue the Services in whole (and not for cause attributable to you), we will, to the extent required by law and applicable Store rules, facilitate a pro-rata refund of prepaid fees for the unused period following the effective date of discontinuation

17.8 Upon discontinuation, your license to access the discontinued components ends on the effective date. Sections concerning ownership, disclaimers, limitations of liability, indemnities, and dispute resolution survive. We may delete or disable access to Your Content after the Export Window, except where retention is required by law.

17.9 Notices under this section may be provided by posting in-Service, email to your account address, push notification, and/or posting to a public status page. Unless otherwise stated in the notice, changes take effect on the date specified in the notice.

17.10 To the maximum extent permitted by law and subject to the “Limitation of Liability” section, we will not be liable for costs or losses arising from Updates, deprecations, or discontinuation undertaken in accordance with this section, except as expressly provided above and without prejudice to non-waivable consumer rights.

XVIII. Limitation of Liability & Force Majeure

18.1 Service availability, maintenance, outages, and product changes are addressed in Section XVII (Service Changes, Availability & Discontinuation). For clarity, the Services may be unavailable from time to time and we do not guarantee uninterrupted or error-free operation.

18.2 To the maximum extent permitted by law, TheCoolist and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use, arising out of or related to the Platform, the Services, or these Terms, even if advised of the possibility of such damages.
Our aggregate liability for all claims relating to the Platform, the Services, or these Terms will not exceed the greater of the total amounts you paid (if any) for chargeable Services in the six (6) months before the event giving rise to liability.

18.3 As set out in Section XVI (Third-Party Links, Services & Map Data), we are not responsible for third-party sites, services, content, or user-to-user interactions.

18.4 TheCoolist will not be liable for any delay or failure to perform caused by events beyond its reasonable control, including without limitation: acts of God; natural disasters; epidemics/pandemics; war, terrorism, or civil unrest; labor disputes; government actions; power outages; failures or delays of internet or telecommunications providers; denial-of-service or other external attacks; or third-party platform changes (each, a “Force Majeure Event”). During a Force Majeure Event, we may suspend the affected Services and will resume performance as soon as reasonably practicable. No compensation will be due for unavailability caused by a Force Majeure Event, without prejudice to any non-waivable consumer rights.

18.5 See Section V and Section XX regarding device, connectivity, and offline availability.

XIX. Access to the Platform

Certain features of the Platform may require you to download content or software, grant device permissions (e.g., notifications, location, camera, photos, Bluetooth), or agree to additional terms that apply to those features (collectively, “Feature Terms”). If there is a conflict between these Terms and Feature Terms, the Feature Terms govern that feature.

To protect users and comply with legal, security, and anti-fraud requirements, we may request identity verification or other information, and may use third-party service providers to assist. If you decline or fail verification, we may refuse, limit, or revoke access to some or all of the Services. We process and retain related Personal Data as described in our Privacy Policy and as required by law.

We may share your information with service providers, partners, or authorities as described in the Privacy Policy or where required by law. We retain records only as permitted by law and our Privacy Policy.

We may restrict or block access to the Platform or certain features in jurisdictions where legal compliance, regulatory approval, or commercial feasibility is not reasonably achievable, and we may adjust availability in response to changes in law or risk.

You represent that you are not located in, under the control of, or a national or resident of any country or party subject to embargoes or sanctions, and that you will not use, export, or transfer the Services in violation of applicable export control, sanctions, or anti-boycott laws. We may limit or disable access to comply with such laws.

Functionality may be limited if you disable required permissions, do not install updates, or lose internet connectivity. You are responsible for your device, operating system, connectivity, and any charges associated with accessing the Services.

Access to and use of the Platform and all Services is conditional upon the User’s consent to location permissions. TheCoolist shall deny such User access to all features and the Platform in its entirety until, and only for so long as, the required location consent is withheld. Once the User grants the necessary permission, access will be reinstated automatically, subject to these Terms. TheCoolist is under no obligation to provide alternative access or functionality that does not rely on location services. Users who later withdraw consent acknowledge that access will again be suspended.

XX. Disclaimer

To the maximum extent permitted by law, the Platform, App, and Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory. Without limiting the foregoing, TheCoolist disclaims all implied warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment, and any warranties arising out of course of dealing or usage of trade. The Services require continuous internet connectivity and are not available offline.

We do not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free; that defects will be corrected; or that the Services will operate with your hardware, software, network, or device configuration. Functionality and availability may change as described in Section XVII (Service Changes, Availability & Discontinuation).

Content and outputs available via the Services—including user-generated content and materials from third parties—may be incomplete, inaccurate, or outdated. Do not rely on any output as your sole source of truth or factual information; where important, seek independent verification. TheCoolist does not endorse third-party or user content (see Section XVI – Third-Party Links, Services & Map Data and Section VI – Content).

You are responsible for your devices, connectivity, and any charges incurred to access the Services, and for maintaining appropriate safeguards (e.g., backups, security software).

No oral or written information or advice provided by TheCoolist or our personnel creates any warranty or increases the scope of any warranty expressly stated in these Terms.

This Disclaimer applies subject to any non-waivable consumer rights you may have under applicable law and the limitations set out in Section XVIII (Limitation of Liability & Force Majeure).

XXI. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless TheCoolist and its affiliates, and each of their respective officers, directors, employees, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, investigations, or proceedings (collectively, “Claims”), and any losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  1. User Content you submit or actions you take on or through the Services;
  2. your breach of these Terms or of any representation or warranty herein;
  3. your violation of law or of any third party’s rights (including intellectual property, privacy, and publicity rights);
  4. any dispute between you and another user or any third party; and
  5. your use of, or reliance on, third-party services accessed via the Services.

The Indemnified Parties will provide you with prompt written notice of any Claim (failure to give prompt notice will relieve you of your obligations only to the extent you are materially prejudiced). You will control the defense with counsel reasonably acceptable to the Indemnified Parties; we may participate with our own counsel at our own expense. You may not settle any Claim without TheCoolist's prior written consent if the settlement: (i) imposes any obligation on an Indemnified Party; (ii) includes an admission of wrongdoing; or (iii) does not include a full and unconditional release of the Indemnified Parties. If you fail to assume defense of a Claim within ten (10) business days of receiving notice, or if you fail to diligently prosecute the defense thereafter, TheCoolist may assume the defense at your expense, and you will remain responsible for all costs, expenses, and amounts covered by this indemnification, including TheCoolist's reasonable attorneys' fees and costs incurred in such defense.

This Section does not require you to indemnify the Indemnified Parties to the extent a Claim results solely and directly from TheCoolist’s gross negligence or willful misconduct as finally determined by a court of competent jurisdiction or admitted by TheCoolist in writing This indemnity applies in addition to any other remedies available under these Terms and survives termination of your account and these Terms to address prior conduct.

XXII. Your Privacy Rights

TheCoolist is the controller of Personal Data processed in connection with the Services. Our data practices (including use of cookies and similar technologies) are described in the Privacy Policy, which forms part of these Terms.

Depending on where you live and subject to applicable law, you may have the right to:

  • Access your Personal Data and obtain a copy;
  • Rectify inaccurate or incomplete data;
  • Erase your data (right to be forgotten);
  • Restrict or object to certain processing (including objection to direct marketing at any time);
  • Data portability (receive your data in a structured, commonly used, machine-readable format and/or transmit it to another controller);
  • Withdraw consent where processing is based on consent (withdrawal does not affect processing prior to withdrawal); and
  • Not be subject to a decision based solely on automated processing where prohibited by law.

You can submit a request through the in-app privacy controls (where available) or by emailing support@thecoolist.io. We may request reasonable information to verify your identity and the validity of your request before acting on it . We will respond to verified requests as soon as possible, or such other timeframe as required by applicable law, and will notify you if an extension is needed. If you are not satisfied, you may lodge a complaint with your local data protection authority.

XXIII. Applicable Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, the Services, or the Platform (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the Hashemite Kingdom of Jordan.

The parties irrevocably agree that the courts of Amman (Palace of Justice), Hashemite Kingdom of Jordan, will have exclusive jurisdiction to settle any dispute or claim arising out of or relating to these Terms, the Services, or the Platform, and each party irrevocably waives any objection to proceedings in such courts on the grounds of venue or on the grounds that proceedings have been brought in an inconvenient forum or that the User is not based in Jordan or Amman. Each party agrees that a judgment or order of such courts shall be conclusive and binding.

XXIV. Suspension & Termination

24.1 You may terminate your TheCoolist Account at any time using the in-app/account settings. Deleting your account does not automatically cancel any subscriptions purchased via the Apple App Store or Google Play, you must cancel through your Store account (see Section XII – In-App Purchases).

24.2 To the extent permitted by law, we may suspend (temporarily limit features or access) or terminate (close your account and end access to the Services) with or without prior notice where we reasonably determine it is necessary to protect users, comply with law, or enforce these Terms, including if:

  • you breach these Terms or applicable law;
  • you provide false, incomplete, or misleading registration or verification information;
  • your activity presents a security, fraud, chargeback, or abuse risk (including payment reversals for In-App Purchases);
  • you withhold/deny location access;
  • you fail or refuse identity verification when requested under Section XIX;
  • we receive repeated infringement notices or a valid legal order regarding your User Content;
  • your conduct or content could damage TheCoolist’s reputation, goodwill, systems, or security;
  • your account has been inactive for 12 months (we may, at our discretion, close inactive accounts and give reasonable advance notice before closure); or
  • suspension/termination is necessary to comply with a legal obligation, court order, regulatory request, or to prevent potential legal liability.

Where reasonably feasible and not prohibited by law or court order , we will provide a brief explanation of the action taken. You can appeal a suspension or termination you believe is in error by contacting support@thecoolist.io within thirty (30) days of the action (see also Section VII – Content Moderation & AI Tools). We will review appeals in good faith but our decision on appeal shall be final and binding.

24.3 Upon termination, all licenses and rights granted to you under these Terms end immediately, and you must cease all use of the Services. Virtual Items and Points are void and non-redeemable as described in Section XI. We may remove or restrict access to your User Content. We may retain certain information as permitted by law and our Privacy Policy and for backup, audit, dispute-resolution, or legal-compliance purposes.

24.4 All Outstanding fees or amounts due, outstanding fees, or obligations incurred prior to termination remain your responsibility and become immediately due and payable upon termination. Refunds for purchases made via the Apple App Store or Google Play are governed solely by the applicable Store Provider’s policies (Section XII); TheCoolist does not provide pro-rata refunds or any other refunds except where expressly required by mandatory applicable law.

24.5 If your account is terminated for any reason set forth in Section 24.2, you are permanently prohibited from registering a new account or accessing the Services through any means without TheCoolist's prior express written consent. We may block, filter, or restrict any identifiers (including but not limited to email addresses, phone numbers, device identifiers, IP addresses, payment methods, and biometric data) to prevent re-registration or access, and any attempt to circumvent such measures constitutes a material breach of these Terms and may result in legal action.

24.6 The following survive termination: ownership and IP provisions (including the license to User Content to the extent described in Section VIII), Data & Privacy obligations (Section XIV), Disclaimers (Section XX), Limitation of Liability & Force Majeure (Section XVIII), Indemnification (Section XXI), Applicable Law & Dispute Resolution (Section XXIII), and any provisions which by their nature should survive.

24.7 Our rights to modify, suspend, or discontinue features are set out in Section XVII (Service Changes, Availability & Discontinuation) and apply independently of this Section.

XXV. Miscellaneous

25.1 Compliance with law; access restrictions. You are responsible for complying with all laws in the place where you reside and from which you access the Platform. TheCoolist makes no representation that the Services are lawful or appropriate in every jurisdiction and may restrict or block access by location where compliance, regulatory approval, or commercial feasibility is not achievable. We may infer lawful, proportionate use of location signals per the Privacy Policy.

25.2 Severability; interpretation; order of precedence. If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Headings are for convenience only. “Including” means “including without limitation.” If there is a conflict between these Terms and any Feature Terms, the Feature Terms control for that feature. These Terms also incorporate by reference the Privacy Policy and any policies expressly referenced.

25.3 Notices. We may provide notices to you via the App, by email to the address associated with your account, or by posting on the Platform. You may provide notices to us at support@thecoolist.io for general matters and support@thecoolist.io for legal notices. To the extent permitted by law, email constitutes written notice and is deemed given when sent (or when posted in-app for in-app notices).

25.4 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without TheCoolist’s prior written consent. TheCoolist may assign these Terms (in whole or part) without restriction, including to an affiliate or in connection with a merger, acquisition, or sale of assets.

25.5 No waiver. A party’s failure to enforce any provision is not a waiver of that or any other provision. Any waiver must be in writing and signed by the waiving party.

25.6 No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and TheCoolist. You have no authority to bind TheCoolist.

25.7 Third-party beneficiaries. Except as expressly stated (for example, Apple App Store/Google Play as third-party beneficiaries of terms relating to In-App Purchases), there are no third-party beneficiaries of these Terms.

25.8 Entire agreement. These Terms, together with the documents incorporated by reference (including the Privacy Policy and any applicable Feature Terms), constitute the entire agreement between you and TheCoolist regarding the Services and supersede all prior or contemporaneous understandings on that subject.

25.9 Electronic communications & signatures. You consent to receive communications from us electronically and agree that electronic records, notices, disclosures, and agreements satisfy any legal requirements that such communications be in writing.

25.10 Survival. Provisions that by their nature should survive termination will survive, including those identified in Section XXIV (Suspension & Termination).

25.11 Governing language. These Terms may be provided in multiple languages; the English version controls in the event of any conflict or ambiguity.

25.12 Contact. Questions about these Terms or reports of issues may be sent to support@thecoolist.io.
